UYAVA LLC — Terms of Service

These Terms of Service (“Terms”) govern your access to and use of uyava.us and our products and services (the “Services”). By using the Services, you agree to these Terms.

1) Who we are

• “UYAVA,” “we,” and “us” means UYAVA LLC.
• We currently sell and ship within the United States only.

2) Using the Site

• You must be 13 or older.
• Create one account per person. Keep your login secure.
• You are responsible for all activity on your account.

3) Store platform

• Our store runs on Shopify. Some features rely on Shopify or other apps.
• Your use of those features may be subject to their terms and policies.

4) Orders and acceptance

• Your order is an offer to buy. We may accept or reject it.
• Reasons for rejection include: product limits, suspected fraud, pricing or stock errors, or shipping restrictions.
• If we cancel, we’ll refund any charge for the canceled items.

5) Pricing, taxes, and availability

• Prices are shown in USD and may change without notice.
• Sales tax is collected where required.
• Products can sell out. Displayed colors may vary by screen.

6) Payment

• We accept the payment methods shown at checkout.
• By submitting a payment, you confirm you are authorized to use that method.
• We may use third-party processors. Their terms apply.

7) Shipping, risk of loss, and title

• We ship within the U.S. only.
• Shipping options and costs appear at checkout.
• Risk of loss and title pass to you when the carrier scans the package.

8) Returns and exchanges

• Returns and exchanges follow the policy posted on the Site (see Returns & Exchanges page).
• Items must meet the listed condition and timing requirements.
• Original shipping charges are typically non-refundable unless stated otherwise.

9) Promotions, gift cards, and store credit

• Each promotion has its own rules. One promo per order unless noted.
• Gift cards and store credits are not redeemable for cash, except as required by law.
• We may change or end promotions at any time.

10) Subscriptions and preorders (if offered)

• If you enroll in a subscription, you authorize recurring charges until you cancel per the subscription terms in your account.
• Preorders ship when available; dates are estimates and may change.

11) User content (reviews, photos, messages)

• You are responsible for content you submit.
• By submitting content, you grant us a non-exclusive, royalty-free license to use, reproduce, display, and distribute it for the Site and marketing.
• Don’t post anything illegal, infringing, harmful, or misleading. We may remove content at our discretion.

12) Acceptable use

Do not:

• Break laws or rights of others.
• Interfere with the Site, bypass security, or scrape data.
• Use the Services to advertise or resell without our consent.
• Upload malware or try to disrupt the Site.
• Misrepresent your identity or affiliation.

13) Intellectual Property & Product Protection

• Site Content: All text, images, logos, and materials on uyava.us are owned by UYAVA LLC or licensors and protected by copyright/trademark law. Personal, non-commercial use permitted; no copying, modification, or distribution without permission.
• Products & Designs: All UYAVA grip patterns, sole constructions, materials formulations, manufacturing techniques, and product innovations are proprietary intellectual property and trade secrets owned exclusively by UYAVA LLC. By purchasing or receiving products, you agree not to:
     - Reverse engineer, disassemble, analyze internals, or test for competitive benchmarking/product development.
     - Photograph/copy proprietary designs for commercial use.
     - Share confidential aspects with third parties.
  

14) SMS and email (if you opt in)

• If you opt in to SMS, you agree to receive marketing texts.
• Message and data rates may apply. Frequency varies.
• Reply STOP to opt out; HELP for help.
• Consent is not a condition of purchase.
• You can opt out of marketing emails via the unsubscribe link.

15) Health and safety notice

• Our socks are for general fitness use.
• They are not a medical device and do not prevent injuries.
• Use your best judgment and follow your instructor’s guidance.

16) Third-party links and tools

• We may link to third-party sites or offer third-party tools.
• We are not responsible for those sites, tools, or their content or policies.

17) Errors, accuracy, and changes

• Occasionally there may be errors or omissions (pricing, availability, descriptions).
• We may correct errors and change or update information at any time.

19) Warranty disclaimer

• The Services and all products are provided “as is” and “as available.”
• To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

20) Limitation of liability

• To the fullest extent permitted by law, UYAVA and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues.
• Our total liability for any claim will not exceed the greater of $100 or the amount you paid to UYAVA for the product(s) giving rise to the claim in the 6 months before the claim.

21) Indemnity

• You agree to indemnify and hold UYAVA and its affiliates harmless from claims arising out of your misuse of the Services, your violation of these Terms, or your infringement of any rights.

22) Dispute resolution; arbitration; class waiver (U.S. customers)

• Informal process: Email customercare@uyava.us with “Dispute” in the subject. We’ll try to resolve it within 30 days.
• Arbitration: If not resolved, disputes will be settled by binding arbitration under the AAA Consumer Rules. One arbitrator. Venue and language: your U.S. county of residence or remote proceedings.
• Class action waiver: Disputes are handled individually. No class actions or class arbitration.
• Small claims: Either party may bring a claim in small claims court.
• This section survives termination.

23) Governing law

• Illinois law governs these Terms and any disputes, without regard to conflict-of-laws rules, except where federal law applies.

24) Termination

• We may suspend or end your access at any time if you violate these Terms or if needed to protect the Services.
• You may stop using the Services at any time.
• Sections that by nature should survive will survive.

25) Changes to these Terms

• We may update these Terms. We will post the new date at the top.
• If you continue using the Services after changes take effect, you accept the new Terms.
